terms & Conditions of service
Maynage Media's Terms and Conditions outline the agreement for our services. These Terms, along with the Quote/Production Estimate we provide, create the contract between us.
1. Maynage Media’s Role
1.1. The Services: Maynage Media will provide the services described in the Quote/Production Estimate as presented. If the scope of the required work changes as an assignment develops, we will discuss any necessary variations with you at the earliest opportunity to agree upon any amendments to the scope and Quote/Production Estimate.
Unless specified in the Quote/Proposal, we include two rounds of changes on all items following the presentation of an initial concept. Additional revisions will be charged according to Maynage Media’s standard hourly rate card.
1.2. Information: To maximise Maynage Media’s effectiveness, we must work with you as a team. Our work often depends on the timely provision of information from you (or your other advisers). Maynage Media will assume that all information you provide is complete and accurate unless you inform us otherwise.
1.3. Incidentals: Couriers or printed proofs from external printers, if required, will be charged to the client.
1.4. Termination: Should you wish to terminate the contract after the commencement of work, you will be invoiced for the work completed up to that point.
1.5. Force Majeure: Maynage Media shall not be liable for any delay or failure to perform its obligations where such delay or failure arises from circumstances beyond Maynage Media’s reasonable control, in accordance with Malaysian law.
2. Payment Terms
2.1. Payment Terms: A deposit is required prior to the commencement of any work. The remaining balance of the invoice must be paid via bank transfer to Maynage Media’s designated account within 7 days of project completion, unless otherwise agreed in writing. Maynage Media retains ownership of all work and will not release the final deliverables until full payment has been received.
2.2. Other Specialist Services: Maynage Media’s estimate excludes third-party costs such as above-the-line advertisement and event management unless otherwise specified. If needed, Maynage Media may seek such specialist services. These costs will be quoted and passed on to the client unless instructed otherwise.
3. Scoping
3.1. Maynage Media will provide a scoping document detailing the functionality of the work, which may include, but is not limited to, websites, applications, or marketing campaigns. Once the client approves this document, any changes beyond the scope will be handled as a new update and priced accordingly.
4. Content
4.1. Content and Images: It is your responsibility to provide the required information regarding your business and marketing objectives. Maynage Media takes no responsibility for errors in content supplied by you. Changes may incur additional charges at standard rates. All necessary text and graphic materials must be provided in suitable digital formats, unless agreed otherwise.
4.2. Charts and Infographics: Information for charts, graphs, and infographics must be provided in Excel format. Requiring Maynage Media to retype large amounts of content may result in additional costs.
4.3. Image Resolution: Client-supplied images must be high-resolution (300 DPI) for print purposes. For web use, lower-resolution images are acceptable. Maynage Media will assume all images supplied are owned or properly licensed by the client. Maynage Media cannot use images taken from Google without proper licensing.
4.4. Images of Children: If you provide images of children, we will assume you have obtained the necessary permissions to use them.
4.5. Permission for Logos: You grant Maynage Media permission to use logos and other company identities to create the project. You agree to indemnify Maynage Media from any claims arising from your failure to obtain proper copyright permissions for all content supplied.
5. Confidentiality
5.1. Confidentiality: Maynage Media will keep your documents and affairs confidential unless required by law, or unless you permit disclosure. Maynage Media may, however, disclose your documents to:
Your other service providers as informed by you,
Maynage Media’s affiliates or related parties,
Any other service provider to whom Maynage Media properly delegates aspects of the assignment.
6. Intellectual Property
6.1. Freedom to Use Ideas and IP: Maynage Media may use or develop ideas, concepts, or information for other clients, including those reflected in the materials provided to you, unless intellectual property rights are reserved.
6.2. Ownership of Materials: All creative works, designs, slogans, and other materials accepted by Maynage Media shall be your property, upon full payment, except for any intellectual property rights reserved by Maynage Media or third parties involved.
6.3. Portfolio Rights: Maynage Media retains the right to showcase your project on its website and portfolio for promotional purposes.
6.4. Working Files and Copyright: Maynage Media retains ownership of all working files, including design concepts and elements, unless otherwise agreed. If you require working files, they can be provided at an additional charge.
7. Indemnity
7.1. All services must be used for lawful purposes in accordance with Malaysian law. You agree to indemnify and hold Maynage Media harmless from any claims arising from your use of our services that harm you or any third party.
8. Liability
8.1. Maynage Media’s total liability in contract or tort shall not exceed the total price paid by you. We shall not be liable for loss of profits, business, revenue, goodwill, or any other indirect or consequential losses.
9. Variation
9.1. These Terms and Conditions may be varied at any time by agreement in writing between us. Any variation will not affect rights or obligations already accrued unless specifically agreed.
